1) First you have to extract specific files from the base.SC2assets with the MPQ editor; mainly textures and units as portraits glitch up for the moment. This will take a significant amount of disk space (close to 4GB). Some skyboxes and doodads CAN be imported but don't expect things to be perfect.
2) We then need to add the m3 importer to 3dsmax. To do so, simply copy the .ms script file into Autodesk\3ds Max 2010\Scripts\Startup or whatever your install path is.
3) Now we need to tell 3ds where to look up for textures. Go to Customize -> Configure User Paths -> External Files and add the path of your extracted textures. (the one of the screen is mine obviously)
4) To import a unit, navigate to the utilities icon (hammer), click MAX SCRIPT and where it should say "Convert to mental ray Area light", select M3 Importer.
5) Navigate to the unit you want to import. Default animations & character bones for free animation will be converted along the model so don't worry. Open it and tadaaaa :-)
SC2 models respond particularly well to meshmooting for added 'softness':
