I don't exactly know why the licenses are required or what the classes entail.
But what happened with Zidane is that he got sanctioned for not having the proper licenses to manage in Spain's third tier. He actually did, it's just that he took his courses in France instead of in Spain.
tl;dr the Spanish FA was being really petty.
I will say though that Real could have done a better job circumventing this. They could have let Zidane manage the Castilla but "officially" make him the assistant manager, with someone with the proper qualifications as the "official" manager, but oh well.
