Serial Experiments Lain is worth a watch, though I'm not completely sure it fits.
Ghost in The Shell movies tends to fit, TV series not as much.

On another note I find it interesting how for anything to qualify as "psychological" (whatever thats supposed to mean to whoever) seems to need to have "grim dark." as a pre req more often that not.

I agree that it doesn't necessarily make something bad, but it's hard to enjoy something that you don't understand. As for whether that's the viewer or the creator's fault, well, I guess it depends. I tend to blame myself for not understanding and then trying to understand what I just watched with the help of my old friend the internet.

I don't mind real Psychological, or rather, I love it just as much as you. But when people call Code Geass, Mirai Nikki, and even second half of Death Note "Psychological", how can you take the term seriously?

Well, psychological without grimdark tends to be seishun -- growing up and finding yourself sort of shows (Haibane Reimen, Koi Kaze both these kind, also Hachimitsu to Clover, Denno Coil. Even FLCL kind of fit).

Psychology as a whole is a rather grim topic. While it has some uh...less grim parts to it, in the end it is connected to what we generally see as negative no matter how you spin it around or sugar coat it (as some more psychological sports series, anime or real, tend to do). The exception is when it comes to growing as a human, but even then there are negative tinges here and there.
The term grimdark is really overused though.

Not sure why Rahxephon showed up in my mind when people mentioned code geass is 'psychological' but i enjoy rahxephon more than that (and i am a huge Eva fan). I bet Haruhi Suzumiya count as a psychological anime nowadays.

I've only seen a little bit of Death Note, but from that I've garnered that it's not "psychological" at all. There's nothing inherent about psychology that makes "dark" things psychological - the study of mentality can easily be geared towards the positive. The only reason "dark" things are considered "psychological" is that people think "psychopath" plays a large role in psychology, or that a dark subject must be psychological because of some preconceived notion that no other genre explores such "deep, complex" nature.
From what I've watched, Paranoia Agent is a decent psychological show.
