Because he's 18 years old. Playing matches is the most important thing for his development right now by far. At Man U and Chelsea he arguably won't even be on the bench, especially in case of the latter. He'll just be loaned out or something.
Every football player his age should have this kind of mentality instead of scooping up the easy money that a contract at a big club gives you.
if a club wants you it usually means they have plans to use you in their lineups, not leave you on the bench. if they explicitly approached him and said we want you to play for us as a backup/rotation player then its a different story, but if they approached him promising first team football, theres no reason to stay at southampton. the players in man utd and chelsea are good enough that simply being in their presence will make you better, not to mention their training facilities and coaches.
Young players need experience more than anything. I fully agree with twisted that every young player should rather want to play than big money.

Manchester United can save this season if they get Di Maria. He is real deal and you can probably get him for 30m or so. I dont think signing Kroos is a solution.
Not to be rude, but Kroos (or rather his agent) is almost certainly using Man Utd for leverage in contract negotiations. The same thing happened with Fabregas last summer. Bayern have no reason to sell him and money doesn't mean anything to them.
