AZUBU.tv Terms of Service

Azubu has nothing to do with Justin.tv/Twitch.tv. This is what happens when you copy and paste legal disclaimers without find/replacing properly.

Launched just over three days ago, AZUBU.tv is seen by many in our community as a direct competitor to the firmly-entrenched online video streaming business of Twitch.tv.

A look at the Terms of Service of AZUBU.tv sheds an interesting, and very confusing, light on the situation:

11. Disclosures.

The services are offered by Justin.tv, Inc. dba AZUBU TV, located at: 23 Geary Street, Suite 800, San Francisco, CA 94108 and email: help@azubu.tv. If you are a California resident, you may have this same information emailed to you by sending a letter to the foregoing address with your email address and a request for this information.

(Editor's Note: Emphasis added)

There seems to be two logical interpretations of this:
  1. Justin.tv, who owns and operates Twitch.tv, does in fact own and operate AZUBU.tv. DBA is a legal term in the United States for "doing business as," something required when operating with a fictious business name.

More information about this can be found on Wikipedia.

EDIT: OFFICIAL TWITCH STATEMENT ON THIS MATTER

  2. The other interpretation is that AZUBU is directly copy-pasting Terms of Service from their competitor without any regard to the transferability of Twitch's terms to their particular service or business model.

This feasibility of this interpretation is fueled by the fact that the entire Terms of Service as listed on AZUBU's website seems disjointed, unorganized, and written with different voices.
Can those with more knowledge about this situation comment on the matter? This thread was made in reaction to publicly-available information found on both company's websites.

The implications of the first interpretation aren't as significant, I feel, as the implications of the second: a company directly copy-pasting legal documents so haphazardly.

Wow, either way this looks bad for azubu tv competing with twitch. Either they are owned by the same people who own twitch, or they are lazy/ incompetent enough to strait up copy paste terms of service from their competitor, which does not look good at all for the quality of the company.

Agreed. ^^ Either way though, their is some explaining to do. If I may ask, why did you decide to scroll through the terms of service for azubu.tv? I don't know a single person that ACTUALLY READS that stuff, along with the End User License Agreement stuff. Just wondering.

Obviously after the silly stuff happened on their website before he wanted to see how deep the rabbit hole goes.

Plus, even today, no one knows what the fuck Azubu DOES. It's worth investigating.

I have made a habit of reading legal stuff and considering what I find before I sign up or use a service, it's just good practice to do it.

I think it has to be option 2, I can't see any reason for jtv to open another competing service for any reason what so ever. It just wouldn't make sense.

I assume more people now, especially streamers would read the fine print ever since the whole incident with Own3d.tv

No wonder azubu had so much money to throw around before they "did" anything!

It all makes so much sense now! The secret has finally been exposed, justin.tv faked a competitor to further manipulate the streaming industry.

regarding the above, that they are both incorporated in delaware doesnt mean much, as it's a popular state for incorporation based on their tax law

i was merely pointing out that they are separately incorporated (assuming the first is Azubu.tv) so your first theory is unlikely. as for the second theory, i wouldnt be surprised. foreign corporations are pretty sloppy and dont want to hire a local transactional attorney for something like this when they can just steal a competitors. even if they hired twitch/justin's attorney, they would have received the same work product.

Up until 2 days ago, Azubu's ToS was just the bottom 4 paragraphs of their current ToS. They're grossly incompetent, and copy-pasted Twitch's ToS and find-replaced 'Twitch.tv' with 'AZUBU.TV'. Pretty much 100% sure of this. If you have an account on Azubu, you should make sure your password is something different from every other site you use, I wouldn't trust their security practices.

Since I'm sure many of you are lazy, the below embedded image tag has now changed your password on Azubu to 'AZUBU' (if you're logged in in the same browser session). You're welcome!

I would be scared of you for doing stuff like this :D

But yeah no one has ever figured out where this money comes from which made me always scared also about all the players they signed. Hopefully they won't lose their home in cca 6 months.

Btw I just checked their site, it's a terrible UI, and experience, I couldn't even open more streams on new tabs :-(

Azubu is just some money laundering business. No doubt it'll all just a massive cover-up for the true shenanigans they are doing.

But why the hell would there be anything related to twitch.tv in terms of service.....?

Twitch is trying to make their on esports team, but can't make it too obvious, so they create AZUBU to make their LoL, SC2 teams.

That's my theory. So instead of AZUBUviolet, it's actually is twitchtvviolet.

Azubu in general is just very weird.

Look at their sites. They are basically all dead and useless and spammed by advertisement bots. They get maybe a few hundred page views.

Azubu has offices all over the world. Doing what? They are a German company but no one has heard of them in Germany before they started their business in Korea.

They were unknown and then come out to sponsor a lol tournament for 150k only later to stop sponsoring that tournament.

Now they started a streaming website just like own3d which relies on a third party to actually service the streaming capacity. How viable is that?

It's money being thrown everywhere but to little effect and with no clear goal. It's just very fishy.

I checked through their Terms of Service upon release, and none of this was there (only the last paragraph or two). With the insane amount of site vulnerabilities and previous hackings to the page, my thoughts are that this could have been hacked into the site, but that's just speculation.

I really love this world. The idea that Azubu is large company, pouring a lot of money in a new project and somehow we end up with spinning tanks and an obscure cult.

You think this was a bad copy paste? Some contracter who worked on a DoI website copy pasted how to make a HTML page redirect from StackOverflow and forgot to update the link so when you googled stack overflow, the first result was the .gov site (presumably googles pagerank trusts .gov so highly, it ranked it highest).

Azubu is owned by Riot. Their plan is to make best teams of the world (Azubu frost, blaze) then sell them off to big organization to make the money back.

Think about it, if you pour millions dollar in the game, you should make your own teams to win most of the money back, at the same time you can sell off the team to make some extra money.

What is not legitimate about that?

In 2007, according to the Chinese Ministry of Commerce the BVI was a bigger source of foreign investment in China than the U.S. South Korea or Japan.

What the BVI gives AZUBU is what a number of jurisdictions that are captured by monied interests around the world give hundreds of thousands of companies: Secrecy. Secrecy which allows them to avoid tax. This makes AZUBU as legitimate as Amazon who site their European headquarters in Luxembourg.

Unless you mean the entire system is no legitimate, in which case I agree.
But he is never making short-term prediction, everyone of his prediction are based on fundenmentals, but he doesn't exactly know when it will happen... So using these kind of narrowed "who-is-right" empirical analysis makes little sense.

This would actually make sense. Seeing how Azubu entered the Korean market to sponsor a tournament with 150k to force other companies later to pay a similar price pool.

Thanks for posting. Really interesting.

Here is another link that might be interesting:

http://www.markhound.com/trademark/search/P4xPbXkV7

http://trademarks.justia.com/854/94/azubu-85494003.html

It shows that Azubu have been working on registering their trademark since 2011 when Azubu was "founded". I don't know all kinda weird for a German/Korean company already trying to settle themselves in the US.

My German is very limited but it seems that the head of Azubus are all korean. Kinda weird why they would keep saying that they are a German company -_-.

Also there is no money in the Germany subsidary. 50k Euro which is basically the minimum to register a company in Germany. So although they claim that they are a German company the German company is just an upfront for their other operations.

I foresee a poor future for AZUBU. Probably going to blow through their money, start missing payments, and duck out like most of the other esports related companies.

So will anyone be able to sign up and stream at Azubu.tv or is it only already established streamers? I tried to find someway to get my own stream on there but I can't seem to find it.

Means that they used to be owned by SYSK LIMITED in Road Town(virgin island) and are now owned by AZUBU Europe Limited also in Road Town

Die SYSK Limited, Road Town, Britische Jungferninseln hält an der Unternehmung eine Mehrheitsbeteiligung.

Also there is no money in the Germany subsidary. 50k Euro which is basically the minimum to register a company in Germany. So although they claim that they are a German company the German company is just an upfront for their other operations.

Here are translations of the quoted parts in German (AktG = Aktiengesetz, German Stock Corp. Act):

There are three companies officially registered in Berlin tied to the AZUBU name. One is AZUBU Europe AG, then there is a certain Clauf GmbH c/o AZUBU Europe AG, and finally AZUBU Interactive GmbH. The registrations basically state that AZUBU is in the game publishing business.

The CEO of AZUBU Interactive, with the adopted name Silverio I. Park, apparently has a webspace at http://insung.de/ where the following (from a magazine, PDF link) can be found among many other things (mostly in Korean):

There was also a GTAI article ("Playing the Big Game -- A Korean in Berlin") in English with an interview of Mr Park of AZUBU available here, with the following interesting parts:

[...]
In December 2011 Mr. Park founded AZUBU together with a Korean businessman whom he met during his work at KOTRA. They chose Berlin as the location of the company's headquarters, because - as Mr. Park says – here is good, qualified, competent staff to be found, and Berlin also supports IT companies, which makes the capital even more attractive. They have a studio in Korea where the game developers are working, and the Berlin headquarters concentrates on product management, community management, PR, marketing, license purchases, and game-publishing.
[...]
When I ask Mr. Park what exactly AZUBU is doing, he stands up and picks up a large picture from the sideboard. There is a huge hall in the picture, full of people, celebrating the online-gamers standing on a podium, in a shower of confetti. "You see? This is an event of the Online Games League in Seoul, with two five-person teams. It was sold out, 17,000 people were in the hall, and we also had a live stream in the Internet. We want to organize such 2-3-hour events in Germany, elsewhere in Europe, also in North America, and establish professional and amateur leagues in different age groups - this work is already underway. We are building a social network for gamers, where fans can exchange information about the specific topics of the gaming world. In our community for example, the gamer, can chat with his own voice, doesn’t need to use the keyboard, because during the game, hands are busy.”

AZUBU Europe AG is currently looking for strategic partners in Europe and elsewhere, in order to realize these great plans. The business prospects of the company are promising: revenues come at a gaming event from tickets, live stream fees, cable television licenses, advertising, and merchandising. AZUBU already has four own highly successful professional gaming teams, and plans to "adopt" more professional teams from North America. AZUBU want to be a “big one” in eSports, in the world of virtual championships.

Just came here to say keep an eye on this. Twitch is definitely not affiliated with Azubu, and it's not the first thing Azubu has blatantly copy/pasted. Could get interesting REAL fast.

I used to go to the LOL matches at Yeongsan Arena and this is what a Korean guy (Korean American maybe) who worked at Azubu...named...Kevin (I think)... told me. We got drunk in Itaewon in Seoul one of those nights.

Its a Korean company, but they have an office in Germany.
A rich Korean dude got kicked out of the country in the late 1990s for fraud or something.
He runs this company from Europe.

They used to have Americans working there but they were either quit or fired.
It was a mass media site when it first started and then it was sort of a social network site, I think.
I checked it out a couple times but didn't really get it. Looked bloody awful.

So it appeared to me that it was a bunch of Koreans making an english website.

Some enterprising lawyer is going to figure out that Azubu has violated multiple consumer protection acts and then sue the piss out of Azubu (assuming that a state attorney general doesn't do it first).

LightningStrikes, all of that is eerily true. He must have been drunk if he was telling you the truth. The truth was not very popular around there! Was Kevin also waiting tables at the restaurant you visited in Itaewon?

www.abuzu.com sums up Azubu perfectly. **edit: Actually, it's evolving. I just wanted the audio loop and spinning tank to stay there forever...

This seems like one of the most plausible explanations about Azubu. Simply a Korean entity operating from outside of Korea, but with a focus in a heavily Korean business environment. Thus, knowing more about the company's history would be the easiest way to learn about Azubu's main goals. Kind of makes sense why the Korean netizens were skeptical about Azubu when they first popped on to the scene with their allegations of ghost company, etc.

@Looms, I've read here on this site, I believe, about the money laundering.
I can see that. Why have a bunch of Koreans make an English website? Makes sense now.

Even now the site shows...looks like that guy Kevin...playing LOL in Korean.

I asked him about a job, but he says that his boss...Kim or Lee...hates foreigners.

Twitch really needs to step it's game up (been lacking in several parts) and a good competitor is good way to get your stuff back in gear. But this is not the way to go.

Well I gotta say, there are lots of rumors going around about AZBU, but here is the truth.

This is what I heard from a person, who works at AZUBU himself and I am letting it out to you all.

THE CEO of AZUBU is KOREAN, age around 60s and he won lottery 2 years ago, the winning was about 50mil i believe.

He was spening it all on the gay bar he used to work at during his jobless period.

Now he is married to the gay bar boss and has 2 kids. (one of them is Tranny)

The other kid, not the tranny one loves game so much, especially LoL so his daddy THE CEO oF Azubu bought the company for him.

AS the truth spreads, it sounds very weird and fk'ed up, but now i understand why AZUBU is so mysterious

Why should I believe to you? And why should not I believe to the 10 other stories I have heard? Everyone better than the last ones, this sure has some spice in it too. Just tell me a solid reason or give me a proof why should I believe you. I mean, new account with such a "cheeky" name, cool story... So.. I would like some explanation. And if you call me kido, then you just agree that you lie. Simple as that.

I gotta puke ..... one sec

i don't care if you guys don't believe me, but believe it or not this is the truth behind AZubu

even if it's true, what's the fucking problem?

the relevant questions is do they have a proper business model, can they run it accordingly and avoid fuckups, not what the owner's sex life and family looks like

Sure buddy, we are going to believe you with 2 posts (double-post)... proof? These stories "I hear this from a woman in a local store"... this is only about hurting Azubu even more... just shut up.

i am dead serious - u gotta believe me kido

Why should I believe to you? And why should not I believe to the 10 other stories I have heard? Everyone better than the last ones, this sure has some spice in it too. Just tell me a solid reason or give me a proof why should I believe you. I mean, new account with such a "cheeky" name, cool story... So.. I would like some explanation. And if you call me kido, then you just agree that you lie. Simple as that.

He is trolling dude, don't bite.

If they copy+pasted the ToS from twitch, that would be terribad.

If it's Justin making a competitor for their other service, holy shit.

there is no problem, just telling the reason of AZUBU being strange and hidden

the relevant questions is do they have a proper business model, can they run it accordingly and avoid fuckups, not what the owner's sex life and family looks like

The infinite is possible at Azubucom...

I live in Seoul and used to go to LOL The Champions. It's a Korean company in Seoul.
They have an office in Gangnam (Gangnam Style!).

The guy Kevin said they have a small office in Germany. But I think they almost all work in Seoul.
That guy an another guy seemed to be the only ones who spoke passable English.
So liquid.

Twitch/justin go down for maintenance.

All azubu streams go down.

So are they even a streaming service at all?

I'm still abashed at the fact people took this "Azubu live platform" seriously.

I mean, if own3d TV proved something, it's that for a sustainable business, you need a healthy DOZEN million dollars, to pay for tech, bandwidth and servers, and salesforce to buy/sell ads to make streams profitable - which so far, only a handful of powerful internet players managed (including twitch).

So far, Azubu:
- is a 50K€ german subsidiary of a KR standard web agency
- has a mock-up website. I'm sorry but: registering/logging in is hell, it's buggy and not secure, streams have no distinct URLs, and well, THERE HERE IS NO LIVE CONTENT. Everything is marked "offline". And well, you can't start your own stream channel, let alone get revenues from it.
- I see no ads on Azubu VODs

So far and for now, Twitch is king out there. Then you have a few small (yet great) websites that offer the same kind of services: MotionCreds.com (hosting ForGG and a few others), CyberGame.tv (mainly russian) and that new hashd.tv website (maybe a few others).

Apart from MotionCreds, which is closely backed by giant VOD provider Dailymotion, I have no idea if the others are able to pay revenues to the streamers...

Can someone with business knowledge comment on whether such a company structure (spread across the USA, Germany and the British Virgin Islands) is common or not? It might just be a normal way to save taxes and still have a good jurisdiction (or something like that).

Companies copy other companies legal disclaimers all the time. It's usually done for the reasons of being inspired by another similar companies legal document. You could technically sue another company for stealing your disclaimer but that rarely happens. Azubu will hire a lawyer and they will have their own disclaimer. Don't worry.

I doubt they'll have to hire a lawyer for this little. They'll just rewrite part of it, copying a few other websites and that's all there will be to it. Unless Justin/Twitch wants to sue them badly, and again, I seriously doubt it. It's Germany, not the US!
